Welcome! Centri Life is a web-based platform that provides users with resources and tools to provide information and actionable recommendations on topics such as finance, health and career opportunities. Centri Life is owned and managed by Centri Tech LLC (“Centri Tech,” “us,” or “we”). We are delighted to have you as part of our community.

By accessing or using Centri Life, including any content, features, tools, and services offered on or through the platform, including, but not limited to a mobile app (collectively referred to as the “Services”), you agree to be bound by these Terms of Service. Please read this document carefully before using the Centri Life platform and/or Services. If you do not agree with any part of our Terms of Service, you may not use Centri Life.

THESE TERMS REQUIRE YOU TO AGREE TO ARBITRATE DISPUTES RATHER THAN GOING TO COURT, GRANT US CERTAIN RIGHTS AND LICENSES, PROVIDE US CERTAIN INDEMNITIES, WAIVE CERTAIN OF YOUR RIGHTS AND REMEDIES, AND LIMIT OUR LIABILITY AND OBLIGATIONS TO YOU. READ THEM CAREFULLY AND DO NOT ACCESS OR USE THE SERVICES IF YOU DO NOT AGREE.

YOU AGREE THAT THESE TERMS ARE SUPPORTED BY GOOD AND VALUABLE CONSIDERATION, THE RECEIPT AND SUFFICIENCY OF WHICH YOU HEREBY ACKNOWLEDGE. SUCH CONSIDERATION INCLUDES, WITHOUT LIMITATION, YOUR USE OF THE SERVICES AND INFORMATION AVAILABLE THROUGH THE SERVICES.

Permitted Use of Platform. Subject to compliance with these Terms of Service, Centri Tech grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for their intended purpose.

Prohibited Use of Platform. While using CentriLife, you shall NOT engage in any of the following activities:

1. Violating any applicable laws, regulations, or third-party rights;
2. Interfering with or disrupting the integrity or performance of the Services;
3. Using the Services to transmit any harmful or malicious content, including viruses, malware, or any other software designed to damage or disrupt the Services or users’ devices;
4. Engaging in any fraudulent, abusive, or unethical behavior;

f) Using the platform for commercial purposes without prior authorization from Centri Tech.

Privacy. Your privacy is important to us, and we are committed to protecting your personal information. Please review our Privacy Policy to understand how we collect, use, and disclose information about you when you use the Services.

Intellectual Property. The Services, including all content, features, and functionality, are owned by Centri Tech or its licensors and are protected by intellectual property and other laws. You acknowledge and agree that Centri Tech retains all rights, title, and interest in the Services and any associated intellectual property rights.

Claims of Infringement.  

We respect the rights of all copyright holders and in this regard have adopted and implemented a policy that provides for the removal of content from the Services under certain circumstances. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us as directed in the “Contact Us” section below, and include the following information required by the Digital Millennium Copyright Act, 17 U.S.C. 512:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
• Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit us to locate the material;
• Information reasonably sufficient to permit us to contact the complaining party (e.g., address, telephone number and email address);
• A statement that the complaining party has a good faith belief that use of the material is unauthorized; and
• A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Third-Party Services and Links. The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Centri Tech. We do not assume any responsibility for any third-party content, products, or services. Your interactions with such third parties are solely between you and the third party, and you are subject to their terms and policies.

Disclaimer of Warranties. The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. Centri Tech disclaims all warranties, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Limitation of Liability. To the maximum extent permitted by applicable law, Centri Tech, its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the platform.

Indemnification. You agree to indemnify and hold Centri Tech and its affiliates, officers, directors, employees, agents, partners, and licensors harmless from any claims, losses, damages, liabilities, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Services or any violation of these Terms.

Modifications to the Terms. We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. We will notify you of any material changes through the platform. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms of Service.

Termination. Centri Tech may, at its discretion, suspend or terminate your access to the platform without prior notice if you violate these Terms of Service. Upon termination, your right to use the platform ceases immediately.

Governing Law and Dispute Resolution. These Terms shall be governed by and construed in accordance with the laws of Washington, DC. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Washington, DC.

Dispute Resolution; Binding Arbitration. In the Dispute Resolution Section only, “we” and “us” are used to refer to you and Centri Tech together. 

We each agree to first contact the other party with any disputes and provide a written description of the problem, all relevant documents and related information, and the proposed resolution. You agree to contact us with disputes by contacting us at the address provided in these Terms. We will contact you based on the contact information you have provided us. You must keep your contact accurate and up to date. 

We each agree to resolve all disputes (as defined and subject to any specific exceptions below) only by arbitration. In arbitration there is no judge or jury, and review is limited. However, just as a court would, the arbitrator must honor the terms and limitations in these Terms and can award the same damages and relief. The arbitrator’s decision and award is final and binding, with some exceptions under the Federal Arbitration Act (“FAA”), and judgment on the award may be entered in any court with jurisdiction. We each also agree as follows:

“Disputes” are any claims or controversies against each other related in any way to the Services, the content of the Services or these Terms or any of Centri Tech’s policies or actions – this includes claims you bring against our officers, directors, employees, partners, successors, agents, affiliates, subsidiaries and their related companies, and claims Centri Tech may bring against you.

If either of us wants to arbitrate a dispute, we agree to send written notice to the other party providing a description of the dispute, previous efforts to resolve the dispute, all supporting documents/information, and the proposed resolution. We will send notice to you based on the contact information you have provided us and notice to us must be sent to: centrilife@centri-tech.com. We agree to make attempts to resolve the dispute. If we cannot resolve the dispute within forty-five (45) days of receipt of the notice to arbitrate, then we may submit the dispute to formal arbitration.

The FAA applies to these Terms and this arbitration provision. We each agree that the FAA’s provisions, not state law, govern all questions of whether a dispute is subject to arbitration.

The arbitration will be administered by the American Arbitration Association (“AAA”) under its arbitration rules. If any AAA rule conflicts with these Terms, these Terms will apply. You can obtain procedures, rules, and fee information from the AAA at 1-800-778-7879 or www.adr.org.

The arbitration will be conducted by a single neutral arbitrator and will take place in Washington, DC. The federal or state law that applies to these Terms will also apply during the arbitration.

We each agree not to pursue arbitration on a classwide basis. We each agree that any arbitration will be solely between you and us (not brought on behalf of or together with another individual’s claim). If for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then our agreement to arbitrate doesn’t apply and the dispute must be brought in court.

The prevailing party in the arbitration will be entitled to recover its costs and expenses, including reasonable attorneys’ fees and experts’ fees, which are incurred in connection with the arbitration.

Either of us may bring qualifying claims in small claims court.

NO CLASS ACTIONS

TO THE EXTENT ALLOWED BY LAW, YOU WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASSWIDE BASIS; THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement. These Terms constitute the entire agreement between you and Centri Tech regarding the Services and supersede all prior or contemporaneous agreements, understandings, or representations.
